After placing an order, you will receive an order confirmation via email or within the app. This confirmation does not guarantee that your order has been accepted. We reserve the right to refuse or cancel any order for any reason, including but not limited to:

  • Suspected fraudulent activity
  • Delivery address outside our service area

If your order is canceled, we will notify you and refund any payment made.

5. User Content

5.1 Submission of Content

Our Services may allow you to submit content, such as reviews, comments, feedback, or suggestions ("User Content"). By submitting User Content, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

5.2 Representations and Warranties

You represent and warrant that:

  • You own or control all rights to the User Content you submit
  • All User Content is accurate and does not violate these Terms
  • The User Content does not infringe or violate any third-party rights
  • The User Content complies with all applicable laws and regulations

You agree not to submit User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy
  • Infringes any intellectual property or other rights of any party
  • Contains software viruses or any other computer code designed to disrupt or damage our Services

We reserve the right, but not the obligation, to monitor, edit, or remove any User Content at our sole discretion.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT OR SERVICES PROVIDED.

6.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FRESHSLICE PIZZA, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, OUR SERVICES OR ANY CONTENT THEREON.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES EXCEED THE AMOUNT PAID BY YOU FOR YOUR MOST RECENT ORDER, OR, IF YOU HAVE NOT PLACED AN ORDER, ONE HUNDRED CANADIAN DOLLARS (CAD $100).

THESE LIMITATIONS WILL APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.3 Allergies and Dietary Restrictions

While we make efforts to accommodate dietary restrictions and allergies, we cannot guarantee that our products are free from allergens or other ingredients that may cause adverse reactions. If you have severe allergies or specific dietary restrictions, please contact the restaurant directly before placing an order.

7. Indemnification

You agree to indemnify, defend, and hold harmless Freshslice Pizza, its affiliates, franchisees, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of our Services
  • Your User Content
  • Your violation of any third-party right
  • Your violation of any law or regulation

8. Dispute Resolution

8.1 Governing Law

These Terms and your use of our Services shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

8.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or our Services shall be settled by binding arbitration in accordance with the rules of the Canadian Arbitration Association. The arbitration shall take place in Vancouver, British Columbia, in English, and the arbitral decision may be enforced in any court.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

8.3 Waiver of Class Actions

YOU AND FRESHSLICE PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

8.4 Limitation Period

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

9. General Provisions

9.1 Entire Agreement

These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and Freshslice Pizza regarding your use of our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning our Services.

9.2 No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

9.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to reflect the parties' intention or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

9.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms at any time without notice or consent.

9.5 Force Majeure

We will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including but not limited to acts of God, labor disputes, or other industrial disturbances, electrical or power outages, utilities or telecommunications failures, earthquakes, storms, or other elements of nature, pandemics, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.

9.6 Notice

Any notices or other communications provided by us under these Terms will be given by posting to our website or by email to the address you provide. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
